iSOFT is pleased to announce the appointment of Gavin James as Group Finance Director. The Company is also announcing that Geoff White is appointed to the role of Deputy Chairman. Gavin James is currently Finance Director of Morse plc, the LSE listed IT services group, a role he has held for the last 7 years. During his time at Morse, Gavin has been an integral part of the senior management team which successfully floated the business in 1999 and has transformed the group from a technology reseller into an IT services company through both organic growth and acquisitions. Gavin has wide experience which will be valuable to iSOFT, including managing international subsidiary businesses, integration of acquisitions and involvement in partnership arrangements for distribution between application vendors and IT services companies. Prior to joining Morse, Gavin served as group finance director at Menvier-Swain Group plc, the listed electronics group, for 3 years. Gavin is expected to take up his new role with iSOFT on a date to be agreed but in any event no later than 31 August 2005 and will be relocating to Manchester. Following Gavin's appointment John Whelan will be stepping down as Group Finance Director as previously announced and will leave the Board with immediate effect. He will remain available to iSOFT to ensure a smooth hand-over of responsibilities to Gavin. iSOFT is also pleased to announce that Geoff White has agreed to become non-executive Deputy Chairman of the Board. Geoff has been a non-executive director of iSOFT for five years, joining the Company at the time of its IPO in 2000. The Board recognises that Patrick Cryne's role as non-executive Chairman is not in compliance with the Combined Code on Corporate Governance given his previous role as Chief Executive. The Board continues to believe however that Patrick's intimate knowledge of the healthcare IT market is extremely beneficial to the Company and makes him the best candidate to fulfil the Chairman role. By appointing an independent Deputy Chairman, the Board believes that it is strengthening iSOFT's corporate governance structures whilst continuing to benefit from Patrick's industry experience and strategic guidance. Patrick Cryne, Chairman of iSOFT commented: "We are extremely pleased to have recruited Gavin James to the role of Group Finance Director. He is a high quality individual and his public company and technology sector experience will prove invaluable to iSOFT as the Company moves to the next stage of its development." "We are also delighted that Geoff has agreed to step up to become Deputy Chairman. His contribution to the Board over the last five years has been extremely important and we believe new responsibilities are crucial in ensuring the Company has the right board structure and governance arrangements to effectively manage our growing business." Gavin James (42) qualified as a chartered accountant with Arthur Young in 1987. He gained 11 years' commercial finance experience and was group finance director of Menvier-Swain Group plc from 1995 to 1998. He joined Morse in 1998 as Finance Director. Geoff White (52) has been a Non-executive Director of iSOFT since May 2000. He is Chairman of Punch Graphix Limited and the SMP Group of companies, a Director of the Tekdata Group Limited and was formerly Chief Executive of Pressac plc, the company which he joined in 1986 as Finance Director until June 2001. He was previously a Managing Director of a subsidiary company within the W Canning Group and was appointed by the Secretary of State for Health as non-executive Director of Derby City General Hospital NHS Trust from April 1994 until March 1998. |
